Effective date: 1 November 2026
For vendors with a membership in place before 1 November 2026, the changes made on that date apply from 18 November 2026.
These Website Terms and Conditions govern access to and use of The Wedding Planning Co. website and its vendor directory, editorial articles, wedding features, accounts, and related online services, collectively the Platform. The Platform is operated by The Wedding Planning Corporation, a Delaware corporation (Delaware file number 10228677), of 16192 Coastal Hwy, Lewes, Delaware 19958, United States (correspondence address). In these Terms, TWPC, we, us, and our mean that entity; you means the person using the Platform and, where applicable, the organization that person is authorized to represent.
1 Scope and acceptance
Please read these Terms before using the Platform. By affirmatively accepting them when opening an account, buying a subscription, or submitting content, you agree to be bound by the applicable Terms. For other use, these Terms apply to the extent that adequate notice and your conduct establish an enforceable agreement under applicable law. If you do not agree, do not create an account, purchase a subscription, submit content, or otherwise use contractual services offered under these Terms.
Vendor subscriptions are also subject to the Vendor Subscription Terms and the plan details expressly presented and accepted at purchase. Wedding and editorial submissions are also subject to the Wedding Submission and Publication Terms. For a conflict concerning a subscription or submission, the relevant specific terms govern that subject, followed by these Terms. An order cannot displace a protection that applicable law makes mandatory. Our Privacy Policy describes personal information handling; agreement to these Terms does not constitute consent to optional marketing, tracking, or every use of personal information.
2 The role of TWPC
TWPC provides a vendor profile directory and an editorial publishing platform. Vendors pay TWPC for subscriptions to display their profiles. Visitors may browse profiles, read articles, and view selected wedding features. The Platform does not offer a facility to book vendors. We do not arrange or enter into wedding service contracts for visitors, accept wedding deposits or payments on behalf of vendors, hold client funds, provide escrow, or administer vendors' cancellations or refunds. Payments to TWPC concern our own vendor subscriptions or separately agreed TWPC promotional services, if any.
Any communication, quotation, contract, payment, or other dealing with a vendor occurs independently of TWPC and outside the Platform's subscription service. Vendors are independent businesses. A profile, link, credit, feature, or editorial mention does not make a vendor our employee, agent, partner, representative, or subcontractor. No vendor may bind TWPC or represent that it is authorized to act for TWPC.
Unless we expressly identify a particular verification and its scope, a listing or feature does not represent that TWPC has verified a vendor's qualifications, licensing, insurance, financial position, availability, safeguarding practices, or work. You should assess suitability, verify relevant credentials, obtain your own written contract, and resolve service and payment arrangements directly with the vendor. These provisions do not exclude responsibility for TWPC's own conduct where imposed by law.
3 Paid profiles and editorial content
Vendor profiles are paid listings. Payment for a directory subscription does not guarantee inquiries, customers, revenue, a particular search position, or editorial coverage. Where payment or another material commercial relationship influences a particular placement, article, or recommendation, the relevant relationship will be disclosed clearly alongside that content where required. An editorial selection is not a warranty of the featured business or event.
Our articles, wedding stories, estimates, and planning information are provided for general information and inspiration. They do not constitute individualized legal, financial, tax, medical, insurance, safety, or other professional advice. Descriptions, prices, availability, and practices may change. Verify material information with the relevant business or qualified adviser before acting on it.
4 Eligibility and account security
You must be at least 18 and legally capable of entering into the relevant agreement to open a vendor account, purchase a subscription, or submit a wedding. If acting for a business or another rights holder, you must have authority to do so. You must provide accurate account and contact information, keep it current, and use only identities and business names you are entitled to use.
Protect account credentials, restrict access to authorized people, and promptly notify info@theweddingplanningco.com of suspected unauthorized access. You are responsible for activity you authorize and for failures to take reasonable care of your credentials. You are not made strictly liable by these Terms for activity caused by our security failures. We may require proportionate verification to protect accounts, prevent impersonation, or investigate credible misuse.
5 Permitted use and restrictions
Subject to these Terms and applicable law, you may access the Platform for personal wedding research or legitimate business use associated with your own vendor profile. You may share public page links and use sharing functions provided by TWPC. This permission does not grant ownership of Platform content or a right to republish photographs or articles.
You must not use the Platform to infringe intellectual property, privacy, publicity, confidentiality, or other legal rights; publish unlawful, fraudulent, materially misleading, defamatory, threatening, or exploitative material; impersonate another person; misstate business credentials; upload malicious code; circumvent access controls; disrupt service; or attempt unauthorized access to accounts or systems.
Without written permission, you must not systematically scrape or harvest profiles, photographs, contact details, or other content; build a competing database from Platform content; send unsolicited bulk messages using collected details; remove attribution or rights notices; or use protected content to train or supply a commercial artificial intelligence system. These restrictions do not limit statutory exceptions or permissions that cannot lawfully be excluded. Ordinary indexing by search engines in accordance with our published technical directions is permitted.
Nothing in these Terms prohibits honest reviews, good faith complaints, reporting suspected wrongdoing, communicating with a regulator, or exercising a nonwaivable legal right. No non-disparagement obligation or penalty for an honest review is imposed.
6 Ownership and submitted material
TWPC or its licensors owns the Platform's original articles, design, branding, software, compilation, and other protected materials. Photographs, vendor logos, submitted stories, and third-party content remain owned by their respective rights holders. Except for permissions expressly granted, all rights are reserved. No license to our trade names or logos is granted for implying endorsement or affiliation.
Material you provide is subject to the specific content license and warranties in the Vendor Subscription Terms or Wedding Submission and Publication Terms, as applicable. Those licenses do not transfer ownership of your content to TWPC. Do not upload material unless you can grant the relevant permissions. Do not send confidential information in an unsolicited submission; we do not accept a duty of confidentiality merely because a submission is labeled confidential, except where privacy law or another applicable obligation requires it.
We may investigate credible rights or accuracy concerns and request supporting evidence. The Copyright and Content Complaints Policy explains how to report infringement, privacy issues, inaccurate content, or other concerns, including our notice, counter-notice, and repeat-infringer procedures. Content reports can be sent to info@theweddingplanningco.com. Copyright notices and counter-notices should be sent to our designated DMCA agent identified in Section 5 of that Policy (US Copyright Office registration DMCA-1082138). An administrative decision to publish, restrict, or remove material is not a judicial determination of ownership or liability.
7 Links and external services
The Platform may link to vendor websites and other third-party services or display embedded content. Those services operate under their own terms and privacy notices. You are responsible for deciding whether to use them. We do not control their products, security, performance, or information practices. A link does not by itself constitute endorsement. Our responsibilities for our own selection, presentation, or integration of those services remain subject to applicable law.
8 Availability and changes to the Platform
We may maintain, improve, or change the Platform, and access may be interrupted for maintenance, security incidents, technical faults, or events outside our reasonable control. We do not promise uninterrupted or error-free access. We will not rely on this provision to remove paid subscription benefits without the notice, cancellation, refund, or other remedies required by the Vendor Subscription Terms or applicable law.
You should retain copies of material you submit. The Platform is not a personal archive or backup service. This does not limit our obligations concerning personal information, subscribed services, or data access rights.
9 Moderation, restriction and termination
We may decline submissions and select editorial content in our discretion. We may also restrict content or access for a material breach of these Terms, infringement, illegality, fraud, a credible safety or security risk, or a legal obligation. We will consider the nature and seriousness of the issue and use a proportionate response. Where appropriate and legally required, we will give reasons, notice, and an opportunity to correct the issue or challenge our decision.
Immediate action may be necessary where a delay would expose people, systems, or rights to harm or where law requires it. Information may be withheld where disclosure is prohibited or would compromise a legitimate investigation or safety measure. Vendor subscription suspension and termination are additionally governed by the Vendor Subscription Terms, including applicable refund and notice provisions. You may request review through the Copyright and Content Complaints Policy.
We may remove, disable access to, or restrict content immediately where we receive a notice or credible complaint that it infringes another person's rights, is defamatory, breaches privacy or publicity rights, or is otherwise unlawful, or where permission evidence we have requested is not provided. To the fullest extent permitted by applicable law, TWPC is not liable to you for removing, disabling, or restricting content in good faith under this Section or the Copyright and Content Complaints Policy, whether or not the content is ultimately found to be unlawful. This does not affect a refund owed under the Vendor Subscription Terms, the counter-notice and review procedures in the Copyright and Content Complaints Policy, or any right that cannot lawfully be excluded.
10 Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE FREE INFORMATIONAL PARTS OF THE PLATFORM AND THIRD-PARTY CONTENT ARE PROVIDED AS AVAILABLE AND AS IS, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THIRD-PARTY ACCURACY OR VENDOR PERFORMANCE. THIS DISCLAIMER DOES NOT OVERRIDE AN EXPRESS PROMISE WE MAKE, THE SERVICES WE CONTRACT TO PROVIDE TO A PAYING VENDOR, OR A WARRANTY OR DUTY THAT CANNOT LAWFULLY BE EXCLUDED.
If applicable law requires us to exercise reasonable care and skill, provide services conforming to their description, or provide particular remedies, those obligations and remedies continue to apply.
Vendor profiles and other material supplied by users are provided by, and are the responsibility of, the person who supplied them. TWPC does not adopt or endorse statements in user-supplied material and may not review all such material before it appears. This does not limit TWPC's responsibility for content it authors, selects, or edits where applicable law imposes that responsibility.
11 Limitations of liability
For business users only, and to the fullest extent permitted by applicable law, TWPC is not liable under or in connection with the Platform for indirect or consequential loss, lost profits, lost anticipated savings, or loss of business opportunity. Subject to the exclusions below, TWPC's aggregate liability to a business user for claims arising from the same or related events will not exceed the greater of USD 100 and the TWPC subscription fees paid or payable by that user for the 12 months immediately preceding the event giving rise to the claim. This limit applies regardless of the form of action to the extent enforceable.
These exclusions and limits do not apply to fraud, fraudulent misrepresentation, willful misconduct, gross negligence where exclusion is prohibited, death or personal injury caused by negligence where liability cannot be limited, or any other liability that cannot lawfully be excluded or limited. Amounts properly due as refunds under the Vendor Subscription Terms are not reduced by the liability cap.
For users acting as consumers, TWPC remains responsible for loss that applicable mandatory law requires it to bear. No provision excludes a statutory consumer remedy or compensation for our unlawful handling of personal information where exclusion is prohibited. A vendor's independent acts are not automatically attributable to TWPC, but this does not excuse TWPC's own actionable conduct.
12 Business user indemnity
If you use the Platform in the course of business, you will, to the extent permitted by applicable law, defend, indemnify, and hold harmless The Wedding Planning Corporation and its officers, employees, and agents against third-party claims, and resulting damages, settlement amounts, and reasonable legal costs, to the extent arising from: (a) content you, or anyone using your account, submit or supply to TWPC, including text, photographs, videos, music, logos, trademarks, and the names, images, voices, or likenesses of identifiable people, that infringes or misappropriates another person's copyright, trademark, privacy, publicity, confidentiality, or other rights, or that is defamatory, false, or misleading; (b) your breach of the content licenses, warranties, or permission obligations in these Terms, the Vendor Subscription Terms, or the Wedding Submission and Publication Terms; (c) your unlawful conduct or material breach of these Terms; or (d) your services, customer dealings, or business representations.
This indemnity does not apply to the extent a claim results from TWPC's breach, negligence, willful misconduct, or other wrongful conduct; TWPC's use of your content outside the license you granted; or an edit, alteration, or addition made by TWPC that itself creates the infringement or false statement. It does not apply to a consumer acting outside a business.
We will notify you reasonably promptly of a claim. A delay in notice reduces your obligation only to the extent the delay materially prejudices your defense. You may manage the defense with competent counsel reasonably acceptable to us if you confirm in writing, within 10 business days after our notice, that you will indemnify us for that claim, and you conduct the defense diligently. We may participate with our own counsel at our own expense. If you do not confirm or diligently conduct the defense, or a conflict of interest makes joint representation inappropriate, we may manage the defense ourselves, and you will reimburse our reasonable legal costs to the extent this Section applies to the claim.
We will provide reasonable cooperation at your expense. You will promptly provide information, records, and evidence reasonably relevant to the claim, including the licenses, permissions, and releases described in the Vendor Subscription Terms. You may not settle a claim by admitting fault for TWPC, restricting TWPC, or imposing a nonmonetary obligation on TWPC without our written consent, not to be unreasonably withheld. We must take reasonable steps to mitigate recoverable loss. There is no duplicate recovery under overlapping indemnities. This Section continues to apply after your account or subscription ends to claims concerning content supplied or conduct occurring before it ended.
13 Complaints, governing law and disputes
Please first contact info@theweddingplanningco.com with sufficient details for us to investigate a dispute. We will seek a practical resolution in good faith. Contacting us is not a mandatory obstacle to urgent relief, a regulatory complaint, a chargeback right, or bringing a claim within an applicable limitation period.
Subject to mandatory law, these Terms are governed by the laws of the State of Delaware, United States, without its conflict of laws rules. For disputes with business users, the state and federal courts located in the State of Delaware, United States have exclusive jurisdiction, except where applicable law requires another forum. A consumer retains any mandatory protection and right to bring proceedings in a competent court in the consumer's home jurisdiction. We will bring proceedings against a consumer only in a forum permitted by applicable law.
These Terms do not impose mandatory arbitration, a class action waiver, or a waiver of a jury trial. Nothing prevents either party from seeking lawful urgent relief or using an available small claims procedure.
14 Amendments and general provisions
We may update these Terms for changes in the Platform, law, or legitimate business needs. We will identify the effective date and give reasonable advance notice of material contractual changes through an appropriate channel. For existing paid subscriptions, the Vendor Subscription Terms govern notice and when changes take effect. Where a new affirmative agreement is required, we will obtain it. Changes do not retroactively alter an accrued claim or expand a previously granted content license without valid agreement.
If a provision is unenforceable, it will be severed to the extent permitted without affecting the remaining provisions, unless doing so defeats the agreement's essential purpose. A delay in enforcing a right is not a waiver. You may not transfer a vendor account or contractual rights without our written agreement, which will not be unreasonably withheld. We may transfer our agreement in a genuine business reorganization or sale if the transfer does not reduce your contractual or mandatory rights and any legally required notice is given.
These Terms, the applicable specific terms, and an accepted order constitute the agreement for their subject matter, without excluding liability for fraud or a representation that applicable law prevents us from excluding. Contractual provisions intended to operate after termination, including ownership, properly continuing licenses, accrued payment obligations, and lawful liability provisions, survive to that extent. Statutory privacy rights and applicable retention limits remain unaffected.
